This is a synthetic asset constructed as an equivalent to BitPay, a Bitcoin start-up. Each share in this asset is equivalent to a claim of 1/1`000`000 (one millionth) of the value of the underlying, calculated as follows :
(a) If BitPay IPOs on a legitimate Bitcoin exchange (such as MPEx), holders of D.BPAY are entitled to one share in the IPO for each D.BPAY share they hold ;
(b) If BitPay IPOs on a legitimate fiat exchange (such as either NYSE or NASDAQ), holders of D.BPAY are entitled to one milionth of the average market capitalisation of the underlying during the first month of trade for each D.BPAY share they hold ;
(c) If BitPay is acquired by an existing publicly traded corporation that is listed on any of the three above exchanges, either as part of a reverse-IPO or in the normal course of commerce, holders of D.BPAY are entitled to half of one millionth of the positive variation in market capitalisation of the acquirer during the month following the acquisition if the acquirer is ten times larger than BitPay or less, else to half of one millionth of a portion of the positive variation in market capitalisation of the acquirer during the month following the acquisition equal to the portion of the acquirer's market capitalisation that the acquisition represents at the time of announcement, but are not held to compensate for the case where the market capitalisation of the acquirer decreases during the interval ;
The above calculated claim will be paid : immediately, in case (a) ; within 6 months of the IPO, in case (b) or (c), except in the case where either the acquirer, the exchange or the public prosecutor announces legal proceedings for fraud or misrepresentation against any of the principals of BitPay, or other professionals materially involved in the deal. The payment will take the form of a single Bitcoin distribution, after which the asset will be closed and delisted.
Should BitPay make dilutive issuances after June 19, 2014, D.BPAY will be diluted proportionally.
